Rubberdesk Terms of Use

These Website Terms and Conditions (“ Terms”) govern access to and use of the Rubberdesk website(s) and related services (the “ Site”). The Site is made available for business users worldwide.

1. About these Terms

1.1 These Terms apply to any person who accesses or uses the Site (including casual visitors, Operators and Occupiers).

1.2 Business use only. The Site is intended for business use only. By accessing or using the Site, you warrant that you are acting for purposes relating to your trade, business, craft or profession and not as a consumer. If you are an Operator, you also warrant that you are acting in the course of carrying on a business and that you are authorised to enter into commercial arrangements in respect of the Spaces you list. If Rubberdesk reasonably believes you are using the Site as a consumer, Rubberdesk may refuse access to the Site or decline to process enquiries.

1.3 If you do not agree to these Terms, you must not use the Site.

1.4 Worldwide use. You are responsible for ensuring that your access to and use of the Site is lawful in the jurisdiction(s) from which you access the Site, and for complying with all applicable local laws.

2. Definitions and interpretation

In these Terms:

  • Control” means the ability to direct or influence (directly or indirectly) the management or policies of a person, whether through ownership of voting securities, contract, or otherwise. A person is deemed to Control another if it: (a) holds more than 50% of the voting rights; or (b) has the right to appoint or remove a majority of the directors (or equivalent); or (c) otherwise has the practical ability to determine key decisions of the entity.
  • Related Entity” means, in relation to a person, any other person that Controls, is Controlled by, or is under common Control with that person.
  • Operator” means a provider of office space, coworking space or related workspace services who lists a Space on the Site (including the relevant owner, head lessee, manager or authorised agent, as applicable).
  • Occupier” means the entity (including a company, partnership, government body or sole trader) that enters into (or proposes to enter into) a Space Agreement with an Operator.
  • Space” means workspace, office or related premises promoted or offered by an Operator on the Site.
  • Space Agreement” means any agreement or arrangement between an Operator and an Occupier under which the Occupier is granted the right to occupy or use a Space.
  • Operator Content” means listings, images, descriptions, floorplans, logos, videos and other materials provided by Operators in connection with the Site.
  • Rubberdesk Content” means all content on the Site other than Operator Content.

2.1 Interpretation

  1. Headings are for convenience only and do not affect interpretation.
  2. “Including” (and similar words) are not words of limitation.
  3. A reference to a “business day” means a day (other than a Saturday, Sunday or public holiday) in the place where the recipient is located.

2.2 Contracting entity and scope

  1. If the relevant Space is located in Australia, these Terms are entered into with Cadigal Rubberdesk Pty Ltd (trading as Rubberdesk Australia).
  2. For all other Spaces and use of the Site, these Terms are entered into with Rubberdesk UK Ltd.

2.3 Site coverage

Site” means: (a) rubberdesk.com, rubberdesk.co.uk, rubberdesk.com.au and rubberdesk.ie; (b) any subdomains; (c) any other domain names, and (d) any associated mobile applications, widgets and APIs.

3. The Platform’s role

3.1 Marketplace only; not a party

Rubberdesk provides the Site as an online marketplace to facilitate enquiries and introductions between Occupiers and Operators. Rubberdesk does not provide office space and is not a party to any Space Agreement between an Occupier and an Operator.

3.2 No agency / no authority; no advisory duty

Rubberdesk is not the agent of an Operator or an Occupier and has no authority to make offers or acceptances on behalf of any Operator.

3.3 No contract formed via the Site

Enquiries, messages and expressions of interest made via the Site do not create a binding contract. A Space Agreement is formed only when agreed directly between the Occupier and the Operator.

3.4 Indicative listings; confirm with Operator; no reliance

Prices and other listing information may be outdated or incorrect. You must obtain final confirmation from the Operator before making any commitment.

3.6 Payments are direct to Operator

Rubberdesk does not collect or hold payments. All payments relating to a Space Agreement are made directly between the Occupier and the Operator.

3.7 Fees and commercial arrangements

Rubberdesk may receive fees or referral payments from Operators without affecting that Rubberdesk is not a party to any Space Agreement.

4. Operator Content

4.1 Neutral marketplace and responsibility for content

The Site is a neutral online marketplace. Operator Content is provided solely by the relevant Operator. Rubberdesk does not verify Operator Content and does not warrant its accuracy.

4.2 Notice of infringement / takedown

If you believe any Operator Content infringes your intellectual property rights, you may notify Rubberdesk’s designated agent at legal@rubberdesk.com.

5. Rubberdesk intellectual property

5.1 Ownership

All intellectual property rights in the Site and the Rubberdesk Content are owned by Rubberdesk.

5.2 Limited licence

Rubberdesk grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purpose only.

6. User obligations

6.1 You must not use the Site unlawfully or misleadingly.

6.2 You must not scrape, crawl, reverse engineer, or use automated means to extract data except as permitted by law.

7. Disclaimers and limitation of liability

7.1 Disclaimers

Rubberdesk makes no warranties about the Site or any listings.

7.2 Excluded losses

Rubberdesk is not liable for any indirect or consequential loss.

8. Indemnification

You agree to indemnify Rubberdesk against any losses arising out of your breach of these Terms.

9. Privacy

Your use of the Site is governed by our Privacy Policy.

10. Suspension and termination

Rubberdesk may suspend or terminate your access to the Site at any time.

11. Changes to these Terms

Rubberdesk may update these Terms from time to time.

12. General

12.1 Priority (Operators)

If you are an Operator, an Operator Agreement prevails in case of any inconsistency with these Terms.

12.13 Governing law and jurisdiction

Terms are governed by the laws of New South Wales, Australia, or England and Wales, depending on the Space location.
